Terms of Service

1. Acceptance of Terms

By accessing or using the CloudPeople platform ("Service"), operated by CloudPeople Ltd, a company registered in Ireland ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms. We will notify registered users of material changes via email.

2. Description of Service

CloudPeople is a live salary-auction marketplace that connects job candidates ("Candidates") with employers ("Employers"). Candidates create profiles — including video introductions, skills, experience, and salary expectations — and Employers bid on Candidates through a transparent auction mechanism.

3. Account Registration

To use the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorised access to your account
  • Be at least 18 years of age
  • Not create more than one account per person

You are responsible for all activity under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Responsibilities

4.1 Candidates

  • All profile information, including video recordings and employment history, must be truthful and accurate
  • You must have the legal right to work in the jurisdictions you indicate availability for
  • You are responsible for setting your own reserve price and auction preferences
  • Participation in an auction does not guarantee employment

4.2 Employers

  • Job postings and company information must be accurate and represent genuine employment opportunities
  • Bids placed in auctions are binding commitments to proceed with hiring discussions at the bid amount
  • You must comply with all applicable employment and anti-discrimination laws
  • Winning an auction grants you the right to proceed with the hiring process — it does not constitute an employment contract

4.3 All Users

  • Do not use the Service for unlawful purposes or to harass, abuse, or harm others
  • Do not attempt to manipulate auction outcomes through fraudulent bids, shill bidding, or collusion
  • Do not scrape, crawl, or use automated means to access the Service without our written consent
  • Do not circumvent the platform to negotiate directly with users contacted through the Service

5. Auction and Bidding Mechanism

The CloudPeople auction system operates as follows:

  • Auction scheduling: Candidates may schedule live auction windows during which Employers can bid on them
  • Reserve price: Candidates may set a minimum salary (reserve price). Bids below this amount will not be accepted
  • Bidding: All bids are visible to other participants during a live auction. Bids are binding offers to proceed to the interview and hiring stage at the stated salary
  • Auction close: The highest bid at auction close wins the right to proceed with the Candidate. The Candidate retains the right to accept or decline
  • Auto-bidding: Employers may configure automated bidding agents. Bids placed by auto-bidders are treated as if placed manually and are binding

CloudPeople reserves the right to cancel or void auctions where we detect fraud, manipulation, or Terms violations.

6. Fees and Payment Terms

  • Candidate subscription: Candidates may subscribe to a premium tier (currently €5.50/month) for enhanced features. Subscriptions are billed monthly and can be cancelled at any time
  • Auction entry fees: Employers pay a per-auction entry fee to participate in bidding. Fees are non-refundable once an auction has commenced
  • Platform commission: CloudPeople may charge a commission on successful hires facilitated through the platform, as detailed in the applicable pricing page
  • Payment processing: Payments are processed securely via Stripe. By using paid features, you also agree to Stripe's terms of service
  • Refunds: Subscription fees may be refunded on a pro-rata basis within 14 days of charge, in accordance with EU consumer protection law. Auction entry fees are non-refundable after auction commencement

7. Intellectual Property

The CloudPeople platform, including its design, code, branding, and features, is the intellectual property of CloudPeople Ltd. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

Your content: You retain ownership of content you upload (profiles, videos, resumes). By uploading content, you grant CloudPeople a non-exclusive, worldwide licence to display, distribute, and process your content as necessary to operate the Service. This licence terminates when you delete your content or account, subject to reasonable backup and caching periods.

Employer content: Job descriptions, company profiles, and bidding data submitted by Employers remain their property. CloudPeople may use aggregated, anonymised data for analytics and platform improvement.

8. Limitation of Liability

To the maximum extent permitted by Irish and EU law:

  • The Service is provided "as is" without warranties of any kind, express or implied
  • CloudPeople does not guarantee that the Service will be uninterrupted, error-free, or secure
  • CloudPeople does not guarantee employment outcomes, salary levels, or the accuracy of user-provided information
  • CloudPeople is not a party to any employment relationship formed through the platform
  • Our total liability for any claim arising from your use of the Service shall not exceed the greater of (a) the fees you paid to us in the 12 months preceding the claim, or (b) €100
  • We are not liable for indirect, incidental, special, consequential, or punitive damages

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law.

9. Termination

You may terminate your account at any time by contacting us or using the account settings. We may terminate or suspend your account if you violate these Terms, with or without prior notice.

Upon termination:

  • Your access to the Service will cease immediately
  • Active auctions involving you may be cancelled
  • We will retain your data in accordance with our Privacy Policy and legal obligations
  • Outstanding payment obligations survive termination

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions.

Dispute resolution: In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, either party may submit the dispute to mediation under the rules of the Mediators' Institute of Ireland. If mediation fails, disputes shall be submitted to the exclusive jurisdiction of the courts of Ireland.

EU consumers: If you are a consumer in the European Union, you may also have the right to submit complaints to the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

11. Data Protection and GDPR

We process personal data in accordance with the General Data Protection Regulation (EU) 2016/679 ("GDPR") and the Irish Data Protection Act 2018. For full details on how we collect, use, and protect your data, please refer to our Privacy Policy.

Key points:

  • We act as the data controller for personal data processed through the Service
  • We process data on the legal bases of contract performance, legitimate interest, and consent
  • You have the right to access, rectify, erase, port, and restrict processing of your data
  • You may lodge a complaint with the Irish Data Protection Commission

12. Miscellaneous

  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force
  • Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and CloudPeople regarding the Service
  • Assignment: You may not assign your rights under these Terms. CloudPeople may assign its rights to an affiliate or successor
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision
  • Force majeure: CloudPeople is not liable for failures or delays caused by events beyond our reasonable control
